Plain-English summary. You sign up, you agree to use LeaseLens reasonably, you pay for what you use (subscription or pay-as-you-go), we provide the service as described. Output is operational data, not legal advice. Liability is capped. Hong Kong law governs. These terms are readable on purpose.

These Terms of Service ("Terms") form a binding agreement between you (or the legal entity you represent) ("Customer", "you") and NeoLain Trading Co. Limited ("NeoLain", "we", "us") governing your use of LeaseLens (the "Service"). By creating an account or using the Service, you accept these Terms. If you do not accept them, do not use the Service.

These Terms are informational; they are not legal advice to you. If you need advice on how the Service fits your regulatory obligations, consult qualified counsel.


1. The Service

Plain-English summary. LeaseLens turns commercial lease PDFs into structured data. It is not a lawyer, not an accountant, and not a system of record for regulatory filings.

LeaseLens processes commercial lease documents you upload and returns structured data fields with page-level citations and confidence scores. The Service is provided through the web application at neolain.com/leaselens and, where available on your plan, via API.

The Service is delivered on an as-available basis. We publish planned maintenance in advance where feasible and target high availability but do not guarantee a specific uptime SLA except where separately agreed in writing on the Unlimited tier.

2. Account and eligibility

Plain-English summary. You have to be old enough to enter a contract, you have to give accurate info, and you are responsible for your account.

We may refuse registration, suspend, or terminate an account at our discretion where we reasonably believe the account is being used in breach of these Terms or applicable law.

3. Acceptable use

Plain-English summary. Upload leases you are allowed to upload, use the service for real work, don't try to break it, don't resell it as your own.

4. Pay-as-you-go and subscription plans

Plain-English summary. Two ways to pay. Subscriptions renew monthly or annually until you cancel. Pay-as-you-go is billed per lease extracted.

4.1 Subscription tiers

Subscription tiers (currently Starter $99/mo, Professional $399/mo, Unlimited $1,500/mo) are billed in advance on a recurring monthly or annual basis. Prices are shown on the pricing page and may change with notice as set out in Section 4.5.

4.2 Pay-as-you-go

Customers without a subscription, or subscription customers who exceed their included allowance, may use the Service on a pay-as-you-go basis at USD $15 per lease extracted (or as listed on the pricing page at the time).

4.3 Taxes

Listed prices are exclusive of taxes. Where required by law, taxes (including VAT, GST, and similar) are added at checkout and itemized on your invoice.

4.4 Auto-renewal and cancellation

All subscription plans auto-renew until you cancel. You can cancel at any time from the billing page in your dashboard, with effect at the end of the then-current billing period. You retain access to the Service (and any remaining included allowance) through the end of that period.

We do not offer automatic refunds for partial months or unused allowance on cancelled monthly plans, except as set out in the Refund Policy (/legal/refund).

4.5 Price changes

We may adjust pricing from time to time. For existing subscribers on an active plan, price changes take effect no sooner than 30 days after we notify you by email or in-dashboard. If you do not accept the new price, you may cancel before the change takes effect and continue at the existing price until your next renewal.

4.6 Payment method

Payments are processed by Stripe. By subscribing, you authorize recurring charges to the payment method on file. It is your responsibility to keep the payment method valid. Failed charges trigger a standard dunning flow; repeated failures may lead to account suspension.

5. Customer content and intellectual property

Plain-English summary. Your leases are yours. Our platform is ours. Extracted data belongs to you to use inside your business.

5.1 Your content

You retain all rights in the documents you upload and any data you create in the Service ("Customer Content"). You grant NeoLain a limited, non-exclusive, worldwide license to host, process, and transform Customer Content solely to operate and improve the Service for you, and for no other purpose. This license terminates when Customer Content is deleted or when your account is closed, subject to the retention periods set out in the Privacy Policy.

We do not acquire ownership of Customer Content. We do not use Customer Content to train any model.

5.2 Extracted data

Structured data extracted from your documents ("Extracted Data") is Customer Content. You own it and may use it inside your business without restriction, including loading it into your own systems, sharing it with your clients, or relying on it for operational workflows, subject to Section 6 (output disclaimer).

5.3 Our platform

The Service, including the LeaseLens application, APIs, extraction schema design, prompt engineering, UI, documentation, and underlying code, is owned by NeoLain or its licensors. These Terms do not transfer any ownership in the Service to you. You receive a limited right to use the Service during the term of your account.

5.4 Feedback

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, royalty-free right to use them without obligation to you. We encourage feedback and we do not want to deter you from sending it.

5.5 Trademarks

"NeoLain", "LeaseLens", and related logos are trademarks of NeoLain. These Terms do not grant you a license to use our trademarks.

6. Output disclaimer — not legal or financial advice

Extracted Data is for informational and operational use. It is not legal advice, accounting advice, tax advice, or financial advice. You should always have qualified legal, accounting, or financial professionals review lease terms before making decisions that depend on their legal or financial effect.

While we work hard to produce accurate output and publish accuracy benchmarks transparently, no AI-assisted extraction is perfect. You are responsible for reviewing Extracted Data, particularly on material terms, and for using the page-level citations and confidence scores to validate output before relying on it for any material decision.

7. Privacy and data processing

Our handling of personal data is set out in the Privacy Policy (/legal/privacy) and, where applicable, the Data Processing Agreement (/legal/dpa). Both are incorporated into these Terms by reference. If there is a conflict between these Terms and a separately signed DPA with you, the signed DPA prevails on data-processing matters.

8. Third-party services

The Service relies on third-party subprocessors listed in the Privacy Policy (Google Vertex AI, Google Cloud Storage, Cloudflare, Supabase, Stripe, Resend, Vercel, PostHog). Their availability and behavior can affect the Service. We choose subprocessors carefully and contract with them appropriately, but we are not responsible for their acts or omissions beyond the commitments in our DPA.

9. Warranties and disclaimers

Plain-English summary. We provide the Service as described and on an "as-is" basis for things we haven't specifically promised.

We warrant that:

To the maximum extent permitted by law, and except for the warranties set out above, the Service is provided "as is" and "as available" without further warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs.

10. Limitation of liability

Plain-English summary. If something goes seriously wrong, the most you can recover is the fees you paid us in the last 12 months. We are not liable for indirect or consequential losses. Nothing in here tries to waive what cannot be waived under Hong Kong law.

To the maximum extent permitted by law:

  1. Neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost data, arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), or otherwise.
  2. Each party's total aggregate liability arising out of or related to these Terms or the Service is capped at the greater of (a) the fees you paid to us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) USD $500.
  3. The limitations in this Section do not limit liability for:
    • A party's gross negligence, willful misconduct, or fraud.
    • Breach of confidentiality obligations with respect to the other party's confidential information.
    • Customer's payment obligations.
    • Any liability that cannot be limited under applicable law (including, in Hong Kong, liability for death or personal injury caused by negligence).

You acknowledge that the pricing of the Service reflects the allocation of risk in this Section and that the limitations are a fundamental element of the agreement.

11. Indemnification

You will defend and indemnify NeoLain against third-party claims arising from:

We will defend and indemnify you against third-party claims that the Service, as provided by us and used as permitted, infringes that third party's intellectual-property rights, up to the liability cap in Section 10.

Each side's indemnity is conditional on the indemnified party promptly notifying the indemnifying party, cooperating reasonably, and allowing the indemnifying party to control the defense and settlement (no settlement that imposes obligations on the indemnified party without their consent).

12. Suspension

We may suspend your access to the Service, with notice where reasonably practicable, if:

13. Termination

13.1 By you

You may terminate your subscription at any time by cancelling from the billing page. Cancellation takes effect at the end of the then-current billing period.

13.2 By us for cause

We may terminate your account with notice for material breach that is not cured within 14 days of written notice, or immediately where the breach cannot reasonably be cured (e.g., confidentiality breach, unlawful use).

13.3 For convenience

We may discontinue the Service or a specific plan tier on at least 60 days' notice. In that case, we will offer a pro-rated refund of pre-paid fees covering the period after discontinuation.

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the Hong Kong courts, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
